# Terms of Service

Version 1.0 — March 2026

These Terms of Service (“Terms”) govern your access to and use of Groove Guru , a collector market intelligence platform operated by Cyrazz Digital Solutions (hereinafter “GrooveGuru”, “we”, “us”, or “our”). By creating an account or using the platform, you agree to be bound by these Terms. GrooveGuru is registered with the Dutch Chamber of Commerce (KVK) under number 42001435, with its registered office in Apeldoorn, the Netherlands.

## 1\. Definitions

-   **“Platform”** means the GrooveGuru website, application, tools, and related services accessible at grooveguru.nl.
-   **“User”, “you”, or “your”** means any individual accessing the Platform, whether as a free or paying subscriber.
-   **“Consumer”** means a User acting for purposes outside of their trade, business, or profession, as defined under Dutch and EU consumer law.
-   **“Subscription”** means a paid recurring access plan to the Platform (e.g. Observer, Collector, Professional).
-   **“Content”** means any data, results, reports, or outputs generated by or displayed on the Platform.

## 2\. Account Registration

### 2.1 Eligibility

You must be at least 18 years of age to register an account and use the Platform. By registering, you confirm that you meet this requirement.

### 2.2 Account information

You agree to provide accurate, complete, and current information during registration and to keep your account details up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

### 2.3 Account security

You must notify us immediately at [support@grooveguru.nl](mailto:support@grooveguru.nl) if you become aware of any unauthorised use of your account or any breach of security. We are not liable for any loss or damage arising from unauthorised access due to your failure to safeguard your credentials.

## 3\. Subscriptions and Payments

### 3.1 Plans

GrooveGuru offers multiple subscription tiers (such as Observer, Collector, and Professional). The features included in each plan, current pricing, and billing cycles are described on our [pricing page](/subscription) and may be updated from time to time.

### 3.2 Billing

Subscriptions are billed on a recurring basis (monthly or annually, as selected) via our payment processor Stripe. Your payment method will be charged automatically at the start of each billing period. All prices are in Euros. GrooveGuru applies the VAT exemption for small enterprises (KOR) under Dutch and EU law. No VAT is charged.

### 3.3 Automatic renewal

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time via your account settings. Cancellation takes effect at the end of the current billing period; no partial-period refunds are issued for monthly subscriptions.

### 3.4 Price changes

We may change subscription prices with at least 30 days written notice by email. If you do not agree with a price change, you may cancel your subscription before the new price takes effect.

## 4\. Right of Withdrawal (Consumer Users)

Important notice for Consumers: Please read this section carefully before completing your purchase. It concerns your statutory right to cancel your order.

### 4.1 Statutory right of withdrawal

If you are a Consumer, you ordinarily have the right to withdraw from a distance contract within 14 days without giving any reason, in accordance with Article 6:230o of the Dutch Civil Code (BW) and Directive 2011/83/EU on consumer rights.

### 4.2 Waiver of the right of withdrawal upon immediate service start

Because GrooveGuru is a digital service that begins delivery immediately upon payment, we ask you — at the time of checkout — to expressly request that the service commences immediately and to acknowledge that you thereby waive your 14-day right of withdrawal once performance has begun. This waiver is valid only if:

-   you have provided your express consent by ticking the relevant checkbox at checkout;
-   you have been clearly informed of the consequences before giving consent; and
-   we have confirmed your request in the order confirmation email.

Legal basis: Art. 16(m) Consumer Rights Directive 2011/83/EU and Art. 6:230p(f)(3) Dutch Civil Code — the right of withdrawal expires for fully performed digital services where the consumer has expressly requested immediate performance and acknowledged the loss of the right.

### 4.3 If you have not waived your right of withdrawal

If, for any reason, the waiver conditions described in clause 4.2 were not met at checkout, your 14-day withdrawal period begins on the day your order is confirmed. To exercise your right of withdrawal, submit a clear written statement (e.g. via our [contact page](/contact) or by email to [info@grooveguru.nl](mailto:info@grooveguru.nl) with the subject “Right of withdrawal”) within 14 days. We will confirm receipt without delay. Upon valid withdrawal, we will refund all payments received from you within 14 days of receiving your withdrawal notice, using the same payment method used for the original transaction.

### 4.4 Model withdrawal form

## 5\. Acceptable Use

### 5.1 Permitted use

You may use the Platform solely for lawful purposes and in accordance with these Terms. The Platform is intended for personal, non-commercial research and collector market intelligence.

### 5.2 Prohibited conduct

You must not:

-   use the Platform to scrape, copy, or redistribute data or Content at scale without our written consent;
-   attempt to reverse-engineer, decompile, or extract the source code of any part of the Platform;
-   use automated tools, bots, or scrapers to access the Platform beyond what our API explicitly permits;
-   share, sell, or sublicense your account or access credentials;
-   use the Platform in a way that infringes intellectual property rights of third parties;
-   upload or transmit malware, viruses, or any other harmful code;
-   engage in any conduct that disrupts or overloads our infrastructure.

Violation of these rules may result in immediate suspension or termination of your account without refund.

### 5.3 Fair use policy

To keep the Platform fast, reliable, and affordable for all users, we operate a fair use policy. Subscriptions are intended for normal individual collector usage. Excessive, automated, or commercial-scale activity — including but not limited to disproportionate search volume, repeated heavy use of intelligence engines, or behaviour that materially exceeds typical usage patterns of comparable users — may be considered outside fair use.

If your usage exceeds fair use, we may contact you to discuss upgrading to a higher plan, apply temporary rate limits, or, in case of abuse, suspend access. We will always try to inform you before taking action, except where immediate intervention is required to protect the Platform.

## 6\. Intellectual Property

All content on the Platform — including tool outputs, algorithms, UI design, text, graphics, and branding — is owned by or licensed to Cyrazz Digital Solutions and is protected by Dutch and international copyright law. You retain ownership of any data or information you input into the Platform. By using the Platform, you grant us a limited, non-exclusive licence to process your inputs solely to deliver the service. You may not reproduce, modify, distribute, or create derivative works from any part of the Platform or its Content without our prior written permission.

## 7\. Privacy and Data Protection

We process personal data in accordance with the General Data Protection Regulation (GDPR / AVG) and our [Privacy Policy](/privacy). By using the Platform, you confirm that you have read and understood our Privacy Policy. We collect and process only the data necessary to deliver the service, handle payments, and comply with legal obligations. Our servers are located within the European Economic Area.

### 7.1 Sensitive consignor and customer data

**Fields GrooveGuru is responsible for.** The dedicated _name_, _email address_ and _phone number_ fields for consignors and customers are provided and secured by GrooveGuru. Email addresses and phone numbers of consignors are stored encrypted at rest and are only accessible to the account owner through access-controlled server-side functions. GrooveGuru accepts responsibility, including liability, for the secure storage and processing of the data entered in these dedicated fields.

**Fields you are responsible for.** Address details and bank account numbers (including IBAN/BIC) of consignors and customers must not be stored in the Platform. If you choose to record address or banking information anyway — for example in free-text notes, agreement text, or any other field not intended for it — you do so entirely at your own risk and you remain solely liable for any privacy, security, or compliance consequences. GrooveGuru accepts no responsibility for unauthorised access to, or misuse of, such voluntarily entered data.

**Current safeguards.** The Platform (a) displays a fixed notice when a new consignor or customer record is created, instructing you not to enter address or banking details, and (b) actively screens free-text notes fields for patterns that resemble addresses or bank account numbers and warns you before saving. These safeguards are supportive measures and do not transfer liability for data you enter outside the dedicated fields.

## 8\. Third-Party Data Sources (Discogs, eBay)

Parts of the Platform display release information and market signals sourced from third-party services, in particular the Discogs API and the eBay APIs. This data remains the property of those providers and of their respective contributors, and is used by us under the terms of their respective API terms of use. GrooveGuru is not affiliated with, endorsed by, or sponsored by Discogs or eBay.

### 8.1 Discogs release data

Release metadata (artist, title, label, catalogue number, format, year, tracklist, credits, images, community ratings) is retrieved live from the Discogs API on your request. Discogs release data used to identify or describe an inventory item may be stored in your account for as long as that item exists, so the Platform can function as a stock and point-of-sale system. All such data is attributed to Discogs in the interface. We do not republish Discogs data as a competing database, do not offer bulk exports of Discogs data, and do not resell it.

### 8.2 Discogs price and marketplace data

In line with the Discogs API Terms of Use, Discogs marketplace pricing (lowest asking price, sales history and comparable signals) is treated as temporary reference information only:

-   Prices are retrieved on demand and shown to you in the scan or lookup flow at that moment.
-   Prices are not stored as permanent product data on an inventory item and are not shown on the item detail page as a persistent value.
-   A short-lived technical cache (maximum 24 hours) may hold retrieved prices solely to limit the number of API calls and to complete a purchase or bulk-pricing session you already started. After that window the cached values expire and are no longer used.
-   Discogs prices are never used to publicly advertise, syndicate, or resell price data, and are never exported in bulk.
-   Discogs prices are excluded from all backups, database snapshots, exports and archives: they are never written to our backup systems and can therefore never be restored from a backup.
-   Discogs price data is **not used at all** in our valuation feature (“waardebepaling” / value verdict). That assessment is calculated exclusively from eBay sold data and our own realised-sales engine (Honest Pricing). No Discogs asking price, sales history or community pricing signal is included in the calculation, used as a ceiling or basis, or stored in the result.
-   Any valuation or verdict produced by the Platform is our own derived assessment, containing no Discogs data, and may be stored as our own Content.

### 8.3 eBay market data

Where eBay data is used, it is retrieved through the official eBay APIs and displayed as an indicative market signal with attribution. eBay listing and price data is likewise not stored as permanent product data, is not redistributed, and is only used to inform the valuation shown to you.

### 8.4 No warranty on third-party data

Third-party data is provided “as is”. We do not control its accuracy, completeness, or availability, and a provider may change, rate-limit, or withdraw access at any time. Features that depend on such data may therefore be reduced or unavailable without this constituting a failure to perform on our part. You may not use the Platform to scrape, mirror, or otherwise extract third-party data beyond the normal use of its features.

## 9\. Availability and Service Level

We aim to keep the Platform available 24/7 but do not guarantee uninterrupted access. Scheduled maintenance, security updates, or events beyond our control may cause temporary interruptions. We will endeavour to give advance notice of planned downtime where reasonably possible. We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time. We will give reasonable notice of significant changes that affect paid subscribers.

## 10\. Disclaimer and Limitation of Liability

### 10.1 Information only

The Content generated by GrooveGuru is provided for informational and research purposes only. It does not constitute financial, legal, or investment advice. You are solely responsible for any decisions made based on information obtained from the Platform.

### 10.2 Limitation of liability

To the maximum extent permitted by applicable law, GrooveGuru and Cyrazz Digital Solutions shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use the Platform. Our total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the amount paid by you to us in the 12 months preceding the claim.

### 10.3 Consumer rights not affected

Nothing in this section limits or excludes any rights you have as a Consumer under mandatory applicable law that cannot be excluded by contract, including rights under Dutch consumer protection legislation.

## 11\. Termination

You may cancel your subscription at any time via your account settings. Your access will continue until the end of your current paid billing period. We may suspend or terminate your account with immediate effect if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. In the event of termination by us without cause, we will refund any prepaid amounts for unused subscription periods.

## 12\. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and/or by displaying a prominent notice on the Platform at least 30 days before the changes take effect for existing subscribers. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree with the revised Terms, you may cancel your subscription before the changes take effect.

## 13\. Complaints Procedure (Klachtenprocedure)

We take complaints seriously. If you are not satisfied with our service, we encourage you to contact us first so we can resolve your concern quickly and fairly.

### 13.1 How to submit a complaint

You can submit a complaint through any of the following channels:

-   Email: [support@grooveguru.nl](mailto:support@grooveguru.nl) — please include your account email, a description of the issue, and any relevant order or transaction details.

### 13.2 Handling time

We will acknowledge receipt of your complaint within 2 business days. We aim to provide a substantive response and proposed resolution within 14 calendar days. If your complaint requires more time to investigate, we will inform you of the reason for the delay and the expected resolution date.

### 13.3 External dispute resolution

If we are unable to resolve your complaint to your satisfaction, and you are a Consumer established in the European Union, you have the right to submit your dispute to the [EU Consumer Redress platform](https://consumer-redress.ec.europa.eu). You may also contact the Dutch Consumers Association (Consumentenbond) or your national consumer authority for independent advice.

### 13.4 Dutch court jurisdiction

Notwithstanding clause 14 below, Consumer Users always retain the right to bring proceedings before the competent court in their place of residence under mandatory applicable consumer law.

## 14\. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or in connection with these Terms that cannot be resolved through our complaints procedure shall be submitted to the exclusive jurisdiction of the competent court in Gelderland, the Netherlands. For Consumer Users, this does not affect any mandatory rights you may have under the consumer protection laws of your country of residence.
